This Independent Contractor Agreement ("Agreement") is entered into by and between Alex Morgan ("Contractor"), operating as Morgan Studio, and Jordan Smith ("Client"), representing Acme Ventures Inc..
1. Scope of Services
Design and develop a custom responsive 5-page website, including brand style guide, logo variations, and mobile optimization.
2. Compensation & Payment Terms
- Total Fee: $3,500 USD for the defined scope of work (Brand Identity & Web Development).
- Upfront Deposit: An upfront deposit of 50% ($1,750 USD) is required prior to project commencement.
- Late Fee: Invoices unpaid after 14 days of the due date will incur a late fee of 5% per 14-day billing period.
3. Revisions & Scope Boundaries
This Agreement includes up to 2 rounds of revisions. Any additional revisions or requests outside the scope defined in Section 1 will be quoted separately as an additional change order.
4. Intellectual Property & Ownership
Upon receipt of full final payment, Contractor assigns and transfers all rights, title, and intellectual property ownership in the final deliverables to Client. Contractor retains the right to display the completed work in their professional portfolio.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of California.
